1. Acceptance of Terms

By accessing or using The Factory platform and website (collectively, the "Service") operated by The Taylor Grant Report ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

The Factory is an intelligence infrastructure platform that provides automated email intelligence, marketing-sales signal correlation, venture pipeline management, and intelligence subscription services. The Service is provided as a hosted solution with structured outputs delivered to Notion databases and other configured destinations.

3. User Responsibilities

• Provide accurate information when registering or submitting requests
• Maintain the confidentiality of any access credentials
• Use the Service in compliance with all applicable laws and regulations
• Not use the Service for any unlawful or unauthorized purpose
• Not attempt to disrupt, compromise, or reverse engineer the Service

4. Intellectual Property

The Service, including all content, features, functionality, algorithms, agent specifications, module definitions, and governance configurations, is owned by The Taylor Grant Report and is protected by applicable intellectual property laws.

Output generated by the Service for your institution belongs to you. The underlying methodology, pipeline architecture, and agent definitions remain our intellectual property.

5. Confidentiality

We treat your intelligence data as confidential. We implement technical and organizational measures to protect your data. We do not access, review, or use your intelligence outputs except as necessary to provide, maintain, and improve the Service.

6. Service Level

The Service is provided on an "as available" basis. We strive for 99.9% uptime for the platform and its scheduled pipelines. We do not guarantee uninterrupted or error-free operation. Scheduled maintenance will be communicated in advance.

7. Limitation of Liability

To the maximum extent permitted by law, The Taylor Grant Report shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability for any claim shall not exceed the amount paid by you for the Service in the twelve months preceding the claim.

8. Termination

Either party may terminate the agreement with 30 days written notice. We may suspend or terminate access immediately for violation of these Terms or applicable law. Upon termination, your data will be exported and provided to you within 30 days, after which it will be securely deleted.

9. Modifications

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated revision date. Material changes will be communicated to active subscribers via email. Continued use of the Service after changes constitutes acceptance of the modified Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Orange County, Florida.
